Bridges, Inc.("Bridges," "we," "us," or "our")is a blockchain software development company. We operate the website "www. bridges.inc" ("Site" If the name, domain, or content of our website is changed for any reason, we will include the service domain after such change.) and related applications ("Apps") and application programming interfaces ("API") (collectively, the "Services").

1. Agreement to Terms

1.1  General. To use the Service, you must review and agree to these Terms of Use and any other terms incorporated by reference into these Terms of Use (including our Privacy Policy, any other terms we may provide to you, and any other terms that may be part of future features related to the Service) (collectively, the "Terms"), Please read these Terms carefully as you are required to review and agree to them. By using the Service, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, please do not use the Service. If you violate any of these Terms, you may lose your right to use the Service.

1.2 Personal Information. We will use the personal information provided by users within the scope necessary to provide the Service and for the purposes specified in our Privacy Policy. All users of the Service agree that Bridges will handle the personal information provided by users in accordance with this Privacy Policy.

1.3 Communication and Notification. Notices regarding these Terms of Use and the Service notices regarding system maintenance and other communications or notices from us to you will be sent by email to the email address associated with your account or by notice to your account on the Service. It is your responsibility to keep the email address associated with your account up to date. You will be deemed to have received an email from us when it is sent, regardless of whether or not you actually received it.

2. The Service

2.1 Changes to the Terms or Services. We may, at any time and in our sole discretion, modify or discontinue any or all of these Terms of Use, or change or remove any or all features of the Service. In such cases, we will notify you of the updated or changed content through the Service or by other means. You are responsible for reviewing each such notice, and your continued use of and access to the Services after receiving notice from us will constitute your acknowledgment of the changes and your agreement to the content.

2.2 Suspension of the Service. Bridges may suspend or discontinue the Service in whole or in part without prior notice to users in any of the following cases, and shall not be liable for any damages incurred by use as a result of such suspension or discontinuation.

(1) When performing maintenance or inspection of equipment and systems for the provision of the Service.

(2) When it is difficult to operate the Service due to fire, power outage, earthquake, natural disaster, system failure, etc.

(3) In the event of trouble, interruption or suspension of service provision, suspension of cooperation with the Service, or changes in specifications, etc., in a third party's service.

(4) In any other cases where Bridges deems it unavoidable to suspend or discontinue the service.

2.3 Offerings. We offer a number of services related to the Services. Some services may require you to create an account, enter a valid payment method, select a paid plan ("Plan"), or order a Plan or Service.

2.4 Use of third-party services. When you use our Services, you may also use one or more third-party services. Your use of these third-party services is subject to the specific policies, terms of use, and fees of those third-party services, and you agree to review the policies and terms of use of the third parties you use and access and to accept sole responsibility for all risks arising from your use of the third-party websites and resources. You understand and agree that you are solely responsible for all risks arising from your use of third-party websites and resources. In no event will we be liable for any damage or harm resulting from your use of any third-party services.

2.5 Bridges Point. As part of the Service, Bridges Points will be awarded by us at no cost to you for your use of the Service. Bridges have complete and sole discretion to implement, operate, modify, or discontinue Bridges Points and related schemes offered by us. This includes, but is not limited to, determining the timing and number of Bridges Points to be awarded, approving or disapproving the use of Bridges Points, changing the quantity of Bridges Points required for use, and adding, removing, or discontinuing redemption products. Bridges Points are provided to you free of charge, and we do not have any control over the use, granting, or management of Bridges Points (including, without limitation, the use of Bridges Points). Bridges Points are provided to you free of charge and we are not responsible for and do not guarantee, the use, granting, or management of Bridges Points.

3. Account

3.1 Eligibility. If you are under the age of majority under the laws of the jurisdiction in which you reside, you may use the Services only with the consent or supervision of a parent or legal guardian.

3.2 Creating an Account. In order to use or access any or all of the Services, you must read and agree to abide by these Terms of Use and the Service’s Privacy Policy, and complete the account creation process. You must provide us with accurate information and keep it up to date. You are also responsible for maintaining your account information and password in an appropriate manner to protect your account and prevent unauthorized use, and you agree that you are solely and entirely responsible for all activities that occur under your account. You must immediately report any suspected unauthorized use of your account to us, and if we provide you with instructions, you must follow them. In such a case, Bridges may suspend the use of the account as unauthorized.

3.3 Use of the Service without Account Registration. It is possible to use some parts of the Service without registering an account. In such a case, users of the service without account registration may use the service only if they have carefully read and agreed to abide by the terms of this agreement and the privacy policy.

3.4 Third-Party Services. You may use a third-party service (such as Google) to register for the Services. If you do so, we will create an account for you by extracting from the third party service of your choice certain personal information, such as your name and email address, and other personal information that we are permitted to access by the privacy settings of the third-party service of your choice. The third-party service may use your information. How third-party services use, store, and disclose your information is governed solely by the policies of such third parties, and you agree that we are not responsible for the privacy practices or other conduct of any third-party sites or services that may be in effect within the Services.

3.5 Account deletion. If you wish to delete your account, you can do so by sending us a request using the contact form.

3.6 Transfer of accounts. You may not assign, transfer, encumber, or otherwise dispose of your position under the Terms of Service or your rights or obligations under the Terms of Service to any third party without the prior written consent of Bridges.

4. Ownership of Rights

All ownership rights and intellectual property rights related to our website and the Service belong to us or the party that has granted a license to us, and the granting of a license to use the Service based on registration as set forth in these Terms does not imply a license to use the intellectual property rights of Bridges or the party that has granted a license to us related to our website or the Service. The license to use the Service based on the registration set forth in this Agreement does not mean the license to use the intellectual property rights of Bridges or the person who has licensed us regarding our website or the Service. You shall not, for any reason whatsoever, perform any act (including, but not limited to, disassembling, decompiling, and reverse engineering) that may infringe the intellectual property rights of Bridges or any party that has granted a license to Bridges. (including, but not limited to, disassembly, decompilation, and reverse engineering) that may infringe the intellectual property rights of the licensee. You may reprint the URL and embed code specified by us, as well as the text and images of the outline of the Service, on the Internet and on the services of third parties, as long as such reprinting does not infringe on the honor or other rights or interests of us or other third parties. In addition, you may not use any other print media. In addition, prior written consent from our company shall be obtained for reprinting in any other print media.

5. Prohibited Acts

In using the Service, you shall not engage in any of the following acts, or acts that may lead to such acts.

(1) Using the Service for illegal purposes.

(2) Infringing the intellectual property rights, portrait rights, publicity rights, or other rights of Bridges, other users, or other third parties.

(3) Defaming the reputation or credibility of Bridges, other customers, or other third parties, or violating their privacy.

(4) Actions that lead to fraud or other crimes.

(5) Actions that transmit or provide harmful programs such as computer viruses, or actions that encourage such programs

(6) Falsifying or hacking the system of this service.

(7) Falsifying or erasing the information of Bridges, other customers, or other third parties.

(8) Improperly using the facilities of Bridges, other customers, or other third parties, or interfering with their operation.

(9) Actions that violate laws, these terms of use, or public order and morals.

(10) Interfering with the operation of this service.

(11) Any other acts that Bridges deem inappropriate.

In the event that Bridges suffers any damage as a result of a customer committing an act that falls under any of the items of the preceding paragraph, we shall be entitled to claim compensation for the damage from the customer concerned.

6. Disclaimer

We expressly disclaim any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, non-infringement, and any warranties arising from a course of dealing or usage of trade with respect to the service. We also do not warrant that the service will meet your requirements or be uninterrupted, secure, or error-free. We also do not warrant the quality, accuracy, timeliness, truthfulness, completeness, or reliability of the services. You acknowledge and agree that you participate in the services at your own risk and expense and that we do not warrant or represent that you will receive any compensation or offers as a result of your participation.

You acknowledge and agree that there are risks associated with your participation in the Services, including the risk of hardware, software, and Internet connection failures, the risk of malicious software being introduced, and the risk of unauthorized third party access to information stored in your account. You acknowledge and agree that Bridges shall not be liable for any loss, failure, confusion, error, distortion, or delay of any kind, however, caused, in connection with your participation in the Services.

You shall be responsible for handling and resolving any problems that may arise between them in relation to this service, and we shall not be held responsible for any such problems.

The Service may be linked with third-party services, but such linkage is not guaranteed, and we shall not be held responsible for any failure of the Service to link with third-party services. In the event that the Service is linked to a third-party service, you shall comply with the terms of use of the third party service at your own cost and responsibility, and even if a dispute arises between you and the third-party operator of the third party service, Bridges shall not be liable for such dispute.

We do not guarantee that the Service is free of viruses or errors, and shall not be liable for any damage caused by viruses or other harmful programs or errors when you use or access the Service.

We shall not guarantee the operation of any equipment or software used by the customer when using the Service.

We shall not be liable for any communication costs incurred by the customer when using the Service.

Except in the case of intentional or gross negligence on the part of us, we shall not compensate the customer for lost profits, indirect damages, special damages, extended damages, attorney's fees, etc. Even if Bridges is liable for any reason, we shall not be liable to compensate the customer for any further damages up to the total amount paid by the customer to us as compensation for this service.

The standard time for this service is the time managed by our server and system, and may not match or operate with the actual time or the time displayed on this service. Users shall use the Service with this understanding in advance.

7. Limitation of Liability

7.1 Limitation of Liability. Except for claims for infringement of our proprietary and intellectual property rights as set forth in section 5, in no event shall the aggregate liability of each party and its affiliates arising out of or relating to this agreement exceed $1,000.

7.2 Exclusion of Consequential and Related Damages. In no event shall a party or its affiliates be liable for any loss of profits, revenue, or goodwill, or for any indirect, special, incidental, consequential, covered, business interruption, or punitive damages arising out of or in connection with this agreement, whether in contract or tort and regardless of the theory of liability, even if the party or its affiliates have been advised of the possibility of such damages. Party or its affiliates, whether in contract or tort, or under any theory of liability, for any incidental, consequential, covered, business interruption, or punitive damages, even if advised of the possibility of such damages, or even if the party's or its affiliates' remedies fail of their essential purpose. The foregoing disclaimer shall not apply to the extent prohibited by law.

8. Business Transfer

In the event that Bridges transfers the business of the Service to a third party, we may transfer the status under the Terms of Service, rights and obligations under the Terms of Service, and the customer's registration information and other information to the assignee of such transfer, and the customer shall be deemed to have agreed to such transfer in advance. The transfer of business set forth herein shall include not only ordinary business transfer but also corporate separation and any other cases in which business is transferred.

9. Partial Invalidation

Even if all or part of a provision of these Terms and Conditions is determined to be invalid under the law, such provision shall be interpreted to conform as closely as possible to the original intent, and the portion of the provision other than the invalid portion and the other provisions of these Terms and Conditions shall remain valid. If any part of the provisions of this Agreement is held invalid or revoked in relation to some customers, this Agreement shall still be valid in relation to other users.

10. Governing Law and Jurisdiction

These Terms of Use shall be governed by the laws of Japan without reference to conflict of laws principles, and in the event of any dispute regarding these Terms of Use, the Tokyo District Court shall have exclusive jurisdiction as the court of the first instance.
